End User License Agreement

Please read this agreement carefully.

This End User License Agreement governs your use of the Goliath ATLAS software platform. By creating an account or using the Platform, you agree to the terms of this agreement.

1. Grant of License

Subject to the terms of this End User License Agreement ("EULA") and your active subscription to Goliath ATLAS, Goliath Advocacy, LLC ("Licensor") grants you and your authorized users a limited, non-exclusive, non-transferable, revocable license to access and use the Goliath ATLAS software platform ("the Software") solely for your organization's internal professional purposes.

This license is granted per organization. The number of authorized users ("seats") is determined by your subscription plan. You may not exceed the seat limit of your plan without upgrading to a higher tier or purchasing additional seats where applicable.

2. Permitted Use

You are permitted to:

  • Access and use the Software through authorized user accounts
  • Enter, manage, and export participant data for your organization's professional purposes
  • Use the Training Portal content for internal professional development and staff training
  • Generate and print documents using the Document Library and Communications Builder
  • Participate in Coordination Networks with other authorized organizations
  • Use AI-generated content after review and editing as described in Section 6

3. Restrictions

You may not:

  • Copy, reproduce, or redistribute the Software or any portion thereof
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
  • Modify, adapt, translate, or create derivative works based on the Software
  • Sell, sublicense, rent, lease, or transfer the Software or your license rights to any third party
  • Remove or alter any proprietary notices, labels, or marks on the Software
  • Use the Software to build a competing product or service
  • Share login credentials between multiple individuals or organizations
  • Reproduce, distribute, or resell the Training Portal content outside your organization
  • Use the Software to process data for any organization other than your own without explicit authorization through the Coordination Network feature
  • Circumvent any access controls, usage limits, or subscription restrictions

4. Sensitive Data and Professional Responsibility

The Software is designed for use by licensed and credentialed professionals working with individuals with disabilities, mental health conditions, and related needs. You acknowledge that:

  • You are solely responsible for ensuring your use of the Software complies with all applicable professional, ethical, and legal standards governing your practice
  • You are responsible for obtaining any required consents from participants or their guardians before entering their information into the Software
  • You are responsible for ensuring appropriate confidentiality and security practices within your organization when using the Software
  • The Software does not replace your professional judgment, licensure, or ethical obligations to the individuals you serve
  • Data about minor participants is subject to FERPA and other applicable laws and must be handled accordingly

5. Coordination Network Feature

The Coordination Network feature allows multiple organizations supporting the same participant to share updates. When using this feature, you agree that:

  • You will only invite organizations that have a legitimate professional relationship with the participant
  • You will ensure that cross-organization sharing complies with any applicable consent requirements, including HIPAA authorizations or FERPA permissions where applicable
  • You are responsible for the information you post to a Coordination Network and its appropriateness for sharing with other connected organizations
  • Information marked as visible to participant may be accessed by the participant or their authorized representative through the participant portal

6. AI-Generated Content Disclaimer

The Communications Builder feature uses artificial intelligence to generate draft communications. You expressly acknowledge and agree that:

  • All AI-generated content is a draft only and requires human review before use
  • AI-generated content may contain errors, inaccuracies, or legally insufficient language
  • AI-generated content does not constitute legal advice, and you should consult a qualified attorney for matters with significant legal implications
  • Goliath Advocacy, LLC expressly disclaims all liability for any consequences arising from the use of unreviewed or unedited AI-generated content
  • You are solely responsible for the accuracy, appropriateness, and legality of any communication sent to third parties

7. Training Portal and Educational Content

The Training Portal contains proprietary educational content including course materials, lessons, and reference resources. You acknowledge that:

  • Training content is licensed for use by your authorized users only and may not be reproduced, distributed, or resold outside your organization
  • Training certificates issued through the Platform are for professional development purposes and do not constitute state licensure, certification, or endorsement
  • The accuracy of training content is maintained to the best of our ability but does not substitute for current legal, clinical, or regulatory guidance in your jurisdiction
  • Training content, including course descriptions of applicable laws and regulations, reflects general best practices and may not reflect recent changes in law or local requirements

8. Intellectual Property Ownership

The Software, including all features, code, design, training content, the COMPASS framework implementation, documentation, and all associated intellectual property, is and remains the exclusive property of Goliath Advocacy, LLC. This EULA does not transfer any ownership rights to you.

You retain ownership of all data you enter into the Software. By using the Software, you grant Goliath Advocacy, LLC a limited license to store, process, and transmit your data solely as necessary to provide the services described in the Terms of Service and Privacy Policy.

9. Updates and Modifications

Goliath Advocacy, LLC reserves the right to update, modify, or discontinue any feature of the Software at any time with or without notice. We will make reasonable efforts to notify users of significant feature changes. Updates to the Software may be deployed automatically and your continued use constitutes acceptance of such updates. We are not liable for any disruption caused by updates or maintenance.

10. Termination of License

This license is effective until terminated. It will terminate automatically if you:

  • Fail to comply with any term of this EULA
  • Cancel your subscription or allow it to lapse
  • Have your account suspended or terminated by Goliath Advocacy, LLC

Upon termination, you must cease all use of the Software. Data export and deletion procedures are described in the Privacy Policy. Sections 4, 6, 7, 8, 11, and 12 survive termination of this EULA.

11. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. GOLIATH ADVOCACY, LLC DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE SECURE, UNINTERRUPTED, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOLIATH ADVOCACY, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, PROFESSIONAL LIABILITY, OR DAMAGES ARISING FROM THE USE OF AI-GENERATED CONTENT, EVEN IF GOLIATH ADVOCACY, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of law provisions. Any disputes arising under this EULA shall be resolved exclusively in the state or federal courts of Douglas County, Nebraska.

14. Entire Agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Goliath Advocacy, LLC with respect to the Software and supersedes all prior agreements and understandings. If any provision of this EULA is found to be unenforceable, the remaining provisions will remain in full force and effect.
